A wave of share transactions involving senior executives and individuals linked to Mutual Benefits Assurance Plc has reshaped the insurer’s ownership picture, with company insiders acquiring more than 254 million shares while a significant shareholder disposed of over 262 million shares during the same period.

Regulatory filings disclosed by Mutual Benefits on September 16 showed that five executives and individuals connected to the company collectively bought 254.004 million shares for approximately N748.6 million between September 7 and 15.

During the period, Charles Enterprises LLC, identified as a significant shareholder of the insurer, sold 262.196 million shares at N2.93 per share, putting the estimated value of its disposal at about N768.2 million.

The contrasting transactions place substantial buying activity by company insiders alongside a sizeable reduction in the holding of a major shareholder.

CEO leads insider purchases

The largest individual purchase was made by the company’s Managing Director and Chief Executive Officer, Femi Asenuga, who acquired 96.001 million shares at N2.92 per share between September 7 and 11.

The transaction accounted for more than a third of the total shares acquired by the five insiders.

Chief Financial Officer Abayomi Ogunwo followed with the purchase of 48.001 million shares at N2.98 per share between September 8 and 9.

Financial consultant Hakeem Oguntola acquired another 61.001 million shares at N2.95 per share on September 11 and 15.

Company Secretary Babajide Ibitayo also increased his holding by purchasing 21.001 million shares at N2.85 per share on September 9.

Personal Assistant to the Chairman, Chika Flora Udu, purchased 28.001 million shares at N3.05 per share on September 8.

In total, the five buyers acquired 254.004 million shares at their respective disclosed prices, representing an aggregate consideration of approximately N748.6 million.

Significant shareholder cuts exposure

While the insiders were accumulating shares, Charles Enterprises LLC was reducing its stake in the insurer.

The significant shareholder disposed of 262.196 million Mutual Benefits shares at N2.93 per share between September 8 and 15. Based on the disclosed price, the transaction was worth approximately N768.2 million.

The volume disposed of by Charles Enterprises was about 8.2 million shares higher than the combined number of shares acquired by the five insiders.

The transactions therefore produced two opposing movements in Mutual Benefits’ shareholding during the same broad period: increased exposure among several senior executives and associated individuals, and a substantial reduction by a significant shareholder.

Filings do not establish link between transactions

Despite the timing and scale of the transactions, the regulatory disclosures do not establish that the shares purchased by the insiders were directly connected to the shares sold by Charles Enterprises.

There is also no indication in the filings that the transactions constituted a direct transfer between the parties.

The disclosures do not state why the executives and other company-connected individuals decided to increase their holdings, nor do they explain why Charles Enterprises chose to dispose of its shares.

As a result, the transactions, on their own, do not establish the motivations behind either side of the activity.

The insider purchases could increase the individual holdings of senior company officials and other connected persons, while the disposal by Charles Enterprises would reduce its exposure to Mutual Benefits. However, the filings provide no basis for concluding that the purchases were driven by expectations of stronger future performance or that the sale reflected a particular view of the insurer.

The transactions instead underscore a notable shift in shareholding involving some of the company’s senior personnel and one of its significant shareholders.

For investors, the disclosures provide details of substantial changes in ownership but leave the strategic reasoning behind the transactions undisclosed.
