Clover Global Resources Limited and TGHL Capital Limited have announced plans to sell 63 million shares to Xenergi Limited, in a move that could significantly reshape Premier Paints Plc’s ownership structure. If the transaction proceeds, Xenergi—a subsidiary of the Oildata Energy Group—would acquire a 51% stake in the paint manufacturer, giving it majority control and the ability to influence board appointments, corporate strategy, and operational decisions.

Xenergi is primarily engaged in converting natural gas into cleaner energy products such as LPG, propane, and mixed alcohols. Its entry into Premier Paints marks a diversification into the manufacturing sector, signaling potential strategic synergies and new avenues for growth.

Premier Paints’ shares have been stagnant at N10 per share since 2022, largely due to a trading suspension on the Nigerian Exchange (NGX). The suspension, imposed on July 1, 2022, followed the company’s failure to file audited financial statements for the year ended December 31, 2021. NGX Regulation Limited had included Premier Paints among nine companies barred from trading for non-compliance with post-listing disclosure requirements.

Despite the suspension, Premier Paints’ most recent financial report showed a modest turnaround. The company posted a pretax profit of N565,000 in Q4 2024, recovering from a loss of N8.2 million in the corresponding period of the previous year. Analysts suggest that the proposed acquisition by Xenergi could bring renewed operational focus and capital support, potentially accelerating Premier Paints’ growth trajectory and expansion initiatives once trading resumes.

Investors and stakeholders are closely monitoring the deal, which, if completed, would not only alter Premier Paints’ ownership dynamics but could also redefine the company’s strategic direction in the years ahead.
