Improved share distribution and increased market liquidity have moved Champion Breweries Plc back into full compliance with listing requirements on the Nigerian Exchange Limited (NGX), following the completion of a major capital-raising programme valued at roughly N60 billion.
The company disclosed in a statement to shareholders and the investing public on March 7, 2026, that its recently concluded Public Offer and Rights Issue have successfully lifted its free float above the minimum threshold required for companies listed on the Exchange’s Main Board.
Compliance Achieved After Previous Deficiency
The brewer had earlier been identified by NGX Regulation Limited (NGX RegCo) as one of several listed firms with a free float deficiency. The company appeared on Schedule 7 of the Exchange’s latest X-Compliance Report, which tracks issuers that fall short of regulatory listing standards.
However, the company said the successful completion of its capital raise has addressed the deficiency ahead of the compliance deadline earlier granted by the regulator.
According to the statement, the capital raising exercises—approved by the Securities and Exchange Commission—are now in the final stages of share allocation and settlement through the Central Securities Clearing System (CSCS).
All shareholders who participated in the Rights Issue have already been credited with their additional shares, while the process of crediting investors who subscribed to the Public Offer is currently ongoing.
With compliance confirmed, the company noted that the “Below Listing Standard (BLS) Compliance Status Indicator,” previously attached to its name on NGX trading platforms, will be removed by the regulator.
Details of the Capital Raising
Champion Breweries undertook a two-part capital raising initiative aimed at strengthening its balance sheet and supporting its expansion strategy.
The programme consisted of:
- A N15.9 billion Rights Issue offered to existing shareholders
- A N42 billion Public Offer targeted at new and existing investors
The Public Offer involved 2.625 billion ordinary shares of 50 kobo each, offered at N16 per share. The offer opened on January 8, 2026, and closed on January 21, 2026.
The company said the proceeds from the fundraising will primarily finance the acquisition of the Bullet brand portfolio through an asset carve-out arrangement.
Under the deal, ownership of Bullet’s brands, trademarks, recipes, and commercial rights across African markets will be transferred to Champion Breweries. The funds will also support working capital and broader growth initiatives.
Importance of Free Float for Listed Companies
Free float refers to the portion of a company’s shares available for public trading on an exchange. Shares held by insiders, directors, governments, or strategic investors are typically excluded from this calculation.
Maintaining an adequate free float is a key requirement for companies listed on the Nigerian Exchange because it ensures sufficient market liquidity, facilitates price discovery, and supports orderly trading of securities.
The minimum requirements vary depending on the listing segment:
- Growth Board (Entry Segment): at least 10% of issued shares or a value of N50 million
- Growth Board (Standard Segment): at least 15% of issued shares or N50 million
- Main Board: at least 20% of issued shares or a free float value of N20 billion
- Premium Board: at least 20% free float or a value of N40 billion
By meeting the Main Board requirement, Champion Breweries has removed the regulatory overhang that previously weighed on its listing status.
For investors, the development is expected to improve trading liquidity in the company’s shares while positioning the brewer for its next phase of expansion following the Bullet brand acquisition.
