NCR Nigeria Plc has announced the appointment of renowned policy advocate and development leader Oluwatoyin Saraki as a Non-Executive Director, a move the company says will further enhance its corporate governance framework and support its ongoing growth strategy.

The appointment became effective on June 11, 2026, following the approval of the company's Board of Directors through a written resolution. However, in line with regulatory requirements, the appointment remains subject to ratification by shareholders at the company's next Annual General Meeting (AGM).

The development was disclosed in an official statement signed by the Company Secretary, Bernice Anya, who noted that Saraki's addition to the board comes at a significant period for the company as it seeks to consolidate recent improvements in financial performance and strengthen its long-term strategic direction.

Board Confirms Appointment

According to the statement, the decision was formally reached during a board resolution held on June 11.

"The Board of Directors of NCR (Nigeria) Plc, by way of a written resolution dated Thursday, 11 June 2026, appointed Her Excellency, Mrs Oluwatoyin Saraki, as a Non-Executive Director on the Board of the Company with effect from 11 June 2026, subject to ratification by the shareholders at the next Annual General Meeting of the Company," the company stated.

Management said the appointment reflects NCR Nigeria's commitment to attracting accomplished professionals with diverse expertise capable of contributing to sustainable business growth and strong corporate governance practices.

Extensive Leadership and Governance Experience

Saraki joins the board with decades of experience spanning the legal profession, public policy, governance, advocacy, and strategic leadership across both domestic and international institutions.

Her career has seen her work closely with governments, multilateral organisations, development partners and private-sector stakeholders, earning recognition as one of Africa's most prominent voices in maternal health, healthcare advocacy and social development.

According to NCR Nigeria, her extensive background is expected to provide valuable insights into board deliberations, stakeholder engagement and long-term corporate strategy.

The company noted that both the Board and Management are confident that her experience and leadership qualities will contribute significantly to achieving the organisation's governance and business objectives.

Global Recognition in Health and Development Advocacy

Beyond her corporate and policy credentials, Saraki is internationally recognised for her contributions to global health and development initiatives.

She currently serves as the Inaugural and Emeritus Global Goodwill Ambassador for the International Confederation of Midwives, where she has championed efforts to improve maternal and newborn healthcare outcomes around the world.

She also serves as a Special Adviser to the World Health Organisation (WHO) Regional Office for Africa, supporting initiatives aimed at strengthening healthcare systems and improving access to quality health services across the continent.

In addition, Saraki holds several high-profile advocacy positions, including serving as UNFPA Nigeria Family Planning Champion and Global Champion for the White Ribbon Alliance for Safe Motherhood, roles through which she has promoted reproductive health, maternal care and women's wellbeing.

Strategic Addition for NCR Nigeria

Industry observers view the appointment as a strategic move by NCR Nigeria as it seeks to reinforce its board with individuals possessing strong governance credentials and international experience.

The company has recently focused on improving operational performance and rebuilding growth momentum, and the addition of Saraki is expected to support efforts to strengthen oversight, enhance stakeholder confidence and advance long-term value creation.

With shareholders expected to consider the appointment at the next AGM, Saraki's entry onto the board marks another significant step in NCR Nigeria's ongoing efforts to position itself for sustainable growth while maintaining high standards of corporate governance.
