Financial statements await CBN clearance as bank maintains closed period
The Board of Directors of United Bank for Africa Plc (UBA) has approved the lender’s audited financial statements for the half-year ended June 30, 2026, subject to regulatory clearance by the Central Bank of Nigeria (CBN).
The approval was granted at a board meeting held on August 13, 2026, according to a statement issued by the bank.
UBA said the Nigerian Exchange Limited (NGX) and the investing public would be formally notified immediately after the CBN grants approval for the release of the half-year results.
The development indicates that investors will have to await the regulator’s clearance before gaining access to the bank’s latest financial performance.
The lender also confirmed that its closed period remains in effect and will continue until 24 hours after the audited financial statements are released to the public.
The closed period restricts certain dealings in the bank’s securities by directors, insiders and other relevant parties ahead of the publication of material financial information.
Puri returns to UBA board
In another decision taken at the meeting, the UBA board approved the appointment of Ibrahim Puri as a non-executive director, although the appointment is also subject to approval by the CBN.
Puri brings more than 35 years of experience across the financial services, banking, fintech, telecommunications and fast-moving consumer goods sectors.
His return to the UBA board also marks a continuation of his long association with the financial institution. He previously served as an executive director of the bank before retiring from the position in 2022.
Since then, Puri has continued to play roles in Nigeria’s corporate sector and currently serves as a non-executive director on the boards of several companies.
Among the companies where he currently holds board positions are Nigerian Breweries Plc and 9mobile.
UBA said the proposed appointment remains subject to the required regulatory approval from the CBN.
Investors await results
The latest board decisions follow an earlier notification by UBA to the NGX and the investing public in July regarding the scheduled August 13 board meeting.
The meeting was convened, among other matters, to consider the bank’s audited financial statements for the first half of the 2026 financial year.
With the accounts now approved by the board, attention shifts to the CBN for regulatory clearance before the results can be formally released to investors.
The half-year results are expected to provide investors with an update on the performance of one of Nigeria’s major banking groups during the first six months of 2026, as the lender continues to operate across Nigeria and other African and international markets.
Until the results are made public, UBA’s closed period will remain in force, with the bank expected to notify the NGX and the market immediately after the CBN gives its approval.
