Investors can now buy into one of Africa’s biggest industrial ventures as Dangote Petroleum Refinery & Petrochemicals FZE begins its long-awaited Initial Public Offering, offering millions of Nigerians and other eligible investors an opportunity to become shareholders in the multibillion-naira energy project.
The public offer, which opens today, September 14, 2026, is being formally launched on the trading floor of the Nigerian Exchange in Lagos in what is expected to be a landmark transaction for Nigeria’s capital market.
The company is offering 4.1 billion new ordinary shares at N525 per share, with a minimum subscription of 10 shares, valued at N5,250, according to a statement issued by the company on Sunday.
The offer is expected to remain open until October 13, 2026, subject to the terms and conditions contained in the Prospectus.
With the transaction projected to raise approximately N2.15 trillion, the Dangote Refinery offer ranks among the largest equity offerings ever undertaken in Africa. The scale of the transaction is expected to attract significant attention from retail and institutional investors, as well as eligible investors across Africa.
The proceeds will be deployed to support the refinery’s long-term growth strategy, operational expansion and strategic investments, while also creating opportunities for additional value creation for shareholders and other stakeholders.
The IPO also represents a significant shift in the ownership structure of an asset that has become increasingly important to Nigeria’s energy sector. By opening its equity to public participation, Dangote Refinery is seeking to broaden ownership and deepen the involvement of Nigerians and African investors in the country’s industrial growth.
President and Chief Executive of Dangote Industries Limited, Aliko Dangote, described the offer as a major new phase in the development of the refinery and its broader economic ambitions.
“Today marks the beginning of a new chapter in the history of Dangote Refinery and, indeed, in the economic future of our nation.
“This offering is about more than raising capital; it is about creating an opportunity for ordinary Nigerians, Africans, and investors across the globe to participate directly in one of the most transformative industrial projects ever built on the continent.
“We established this refinery to transform Africa’s energy landscape, create jobs, conserve foreign exchange, and unlock shared prosperity. With this IPO, we are extending that vision by democratising ownership and ensuring that millions of people can benefit from the value being created.
“We believe that broad-based ownership is one of the most effective ways to build wealth, strengthen the capital market, and accelerate economic inclusion. We invite investors to join us as partners in building a globally competitive enterprise that will continue to shape the future of energy, manufacturing, and economic development in Africa.”
The significance of the transaction extends beyond the refinery itself, according to the leadership of the Nigerian Exchange Group.
Group Managing Director and Chief Executive Officer of Nigerian Exchange Group, Temi Popoola, said the offering could help strengthen the relationship between Nigerian businesses, domestic capital and ordinary citizens.
“The launch of the Dangote Petroleum Refinery IPO is an important moment for Nigeria’s capital market, not simply because of the scale of the transaction, but because of what it represents.
“Our capital market must increasingly become a place where Nigerians can participate in the value created by our country’s most important businesses. That means broadening ownership, expanding access and creating stronger connections between Nigerian enterprise and Nigerian capital.
“At NGX Group, we have been deliberately building the infrastructure to make that possible. Through NGX Invest and connectivity across more than 50 distribution channels, including stockbrokers, banks and fintechs, we are making participation in the public market more accessible.
“This is how we build an ownership economy: strong Nigerian businesses accessing long-term capital, and more Nigerians having the opportunity to participate in their growth.”
Strategic importance
The Dangote Refinery has increasingly assumed a strategic role in Nigeria’s energy architecture, particularly as the country seeks to reduce its dependence on imported refined petroleum products.
The facility is expected to contribute to national energy security by increasing domestic refining capacity, reducing pressure on foreign exchange resources used to import petroleum products and strengthening Nigeria’s ability to supply refined products to international markets.
Since commencing commercial operations, the refinery has supplied petroleum products to domestic and international markets, while its operations have supported activity across several segments of the industrial and energy value chain.
Its emergence as a major refining hub has also strengthened Nigeria’s position as a potential exporter of petroleum products to other African and international markets.
The IPO therefore comes at a point when the refinery is seeking to consolidate its operations and pursue further expansion and strategic investments.
Access for investors
Dangote Refinery said the subscription process has been structured to make participation accessible, transparent and technology-enabled.
Eligible investors will be able to subscribe through approved distribution channels, including NGX Invest, designated commercial banks and authorised investment platforms, subject to the terms contained in the Prospectus.
The minimum subscription of 10 shares means investors can enter the offer with N5,250, although larger subscriptions will be subject to the applicable requirements and procedures set out in the offer documents.
The inclusion of retail investors is particularly significant given the stated objective of broadening ownership of major Nigerian enterprises. The transaction is also targeted at institutional and eligible African investors, potentially creating a wider shareholder base for the refinery.
For Nigeria’s capital market, the offering presents an opportunity to mobilise substantial domestic and international capital while giving investors direct exposure to one of the country's most prominent industrial assets.
With the offer now formally open on the floor of the Nigerian Exchange in Lagos, Dangote Refinery is maintaining its focus on operational excellence, strong corporate governance, sustainable growth and creating long-term value.
Beyond raising capital, the company sees the IPO as part of a broader effort to give more people an opportunity to participate in the economic value created by the refinery, while supporting its future expansion.
