A senior official of MTN Nigeria Communications Plc has sold 8,000 ordinary shares in the telecommunications company in a transaction valued at N6.86 million, according to a regulatory filing with the Nigerian Exchange Limited (NGX).

The share disposal was executed on September 21, 2026, in Lagos by Osebi Ufot, Manager of Financial Operations at MTN Nigeria, as part of a transaction disclosed under the exchange’s insider-dealing reporting requirements.

The shares were sold across different price levels, with 7,854 shares changing hands at N858.00 each, 26 shares at N857.00 and a further 120 shares at N857.10.

The transactions produced a weighted average price of N857.36 per share, putting the total value of the disposal at N6,858,880.

The transaction was formally disclosed to the exchange on behalf of MTN Nigeria in accordance with the company’s statutory obligations relating to share dealings by insiders.

In the regulatory notification, MTN Nigeria Deputy Company Secretary, Obafunmilayo Willoughby, stated: “Notification of Share Dealing by Insiders.”

The disclosure provides investors with details of changes in the shareholding of a person classified as an insider of the listed telecommunications company.

Regulatory Transparency

Insider share-dealing disclosures form part of the transparency requirements governing companies listed on the Nigerian Exchange.

The rules require relevant insiders, including directors and persons with managerial responsibilities, to report transactions involving securities of their companies. Such disclosures enable investors and other market participants to monitor changes in the holdings of individuals who may have significant responsibilities within listed companies.

The reporting framework is also intended to support transparency and investor confidence by ensuring that material changes in insider holdings become available to the wider market.

For MTN Nigeria, the latest transaction comes amid a period of significant changes in the operating environment for telecommunications companies.

Telecom Sector Faces Cost Pressures

Nigeria's telecommunications industry continues to contend with inflation, elevated energy and operating costs, foreign-exchange volatility and other macroeconomic pressures that have affected corporate earnings and investment decisions.

Telecommunications operators have faced substantial costs associated with network expansion, infrastructure maintenance, energy consumption and foreign-currency-linked obligations.

The industry's financial performance has therefore remained closely watched by investors as operators seek to balance capital expenditure requirements with changing consumer demand and broader economic conditions.

MTN Nigeria, as the country's largest mobile network operator and one of the most prominent companies listed on the Nigerian Exchange, remains subject to extensive post-listing disclosure requirements.

The company's size and position in the local equities market mean that changes in insider shareholdings are closely monitored by investors and market participants.

The latest transaction, however, only establishes that the shares were sold; the regulatory filing does not, by itself, indicate the reason for the disposal or suggest that it represents a change in the company's underlying business outlook.

The N6.86 million transaction therefore stands primarily as a disclosed insider dealing, providing the market with information on a change in the equity holdings of one of MTN Nigeria's managerial personnel.
