Ericsson has announced the establishment of a binding agreement with Koch Equity Development LLC concerning the sale of iconectiv (referred to as the “Transaction”).
Following the settlement of expected taxes, transaction
costs, and other obligations, Ericsson anticipates a cash benefit from the
Transaction of approximately SEK 10.6 billion (USD 1.0 billion).
Upon the completion of the Transaction, Ericsson expects to
recognize a one-time EBIT benefit of around SEK 8.8 billion (USD 0.8 billion).
The Transaction is contingent upon standard closing
conditions, including regulatory approvals, with a completion target set for
the first half of calendar year 2025.
Iconectiv is currently consolidated within Ericsson and is
reported under the Enterprise Segment. In 2023, iconectiv contributed
approximately SEK 1.0 billion (USD 0.1 billion) to Ericsson's net income.
Acquired in 2012 as part of the Telcordia acquisition,
iconectiv is a US subsidiary of Ericsson that has been co-owned with private
equity firm Francisco Partners since 2017.
Iconectiv provides services to over 5,000 customers across
various industries, specializing in number portability solutions, core network
and operations management, as well as numbering and data exchange services,
while exhibiting limited strategic synergies with Ericsson’s broader portfolio.
