Tata Consumer Products Ltd (TCPL), a prominent player in the fast-moving consumer goods sector, has successfully merged its three wholly-owned subsidiaries following the approval from the National Company Law Tribunal (NCLT) and other necessary regulatory bodies.
The subsidiaries—Tata Consumer Soulfull Pvt Ltd, NourishCo
Beverages Ltd, and Tata SmartFoodz Ltd—are now integrated into TCPL, as
confirmed by a statement from the Tata Group's FMCG division.
The company noted, “We wish to inform you that all
conditions specified under Clause 17 of the Scheme, including the submission of
certified copies of the order to the Registrar of Companies in Form INC-28,
have been fulfilled.
Consequently, the effective date of the merger scheme is set
for September 1, 2024.” This move aligns with TCPL's strategy to simplify and
enhance its business operations, aiming to unlock efficiencies and synergies
through this consolidation of its legal structure.
Importantly, there will be no alterations to the operational
framework of these business units, which will maintain their focus on key
product categories such as millet-based items, ready-to-drink beverages, and
ready-to-cook/ready-to-eat foods. These categories are integral to the growth
strategy of Tata Consumer Products.
TCPL's diverse product range encompasses tea, coffee,
bottled water, ready-to-drink beverages, salt, pulses, spices, ready-to-cook
and ready-to-eat meals, breakfast cereals, snacks, and mini meals.
The company boasts a consolidated revenue of Rs 15,206 crore
and is the owner of several leading beverage brands, including Tata Tea,
Tetley, Organic India, Eight O’Clock Coffee, Tata Coffee Grand, Himalayan
Natural Mineral Water, Tata Copper+, and Tata Gluco+.
