Telecommunications company Ericsson has announced the composition of its Nomination Committee for the 2027 Annual General Meeting, following procedures set out under its established governance framework.

The committee was formed in line with the Instruction for the Nomination Committee adopted at the company’s 2012 Annual General Meeting, reinforcing Ericsson’s long-standing approach to structured shareholder representation in board nomination processes.

The newly appointed Nomination Committee comprises representatives from some of Sweden’s largest institutional investors, along with a member of the company’s board.

The members include Johan Forssell of Investor AB, Helena Stjernholm of AB Industrivärden, Katarina Romberg of AMF Tjänstepension & AMF Fonder, Mathias Collén of Afa Försäkring, and Jan Carlson, who serves as Chair of Ericsson’s Board of Directors.

Johan Forssell has been appointed as Chair of the Nomination Committee.

Ericsson noted that the formation of the committee is part of its standard corporate governance process, designed to ensure that major shareholders have input in recommending board members and shaping governance decisions ahead of the annual general meeting.

The company also confirmed that shareholders who wish to submit proposals to the Nomination Committee are encouraged to do so ahead of the AGM deadline, ensuring sufficient time for consideration.

“Shareholders who wish to submit proposals to the Nomination Committee are welcome to contact the Nomination Committee,” Ericsson said in its statement.

It added that all proposals must be received in due time before the Annual General Meeting to be properly reviewed and evaluated.

The announcement reflects Ericsson’s continued emphasis on transparency and shareholder participation in its governance structure as it prepares for its 2027 AGM cycle.
